1. DEFINITIONS

For the purpose of these Terms:

- “BigXmarts”, “we”, “us” or “our” means BigXmarts and its authorized representatives.

- “Vendor” means any individual, business, supplier, or seller offering products through BigXmarts.

- “Customer” or “you” means a person purchasing or attempting to purchase products through BigXmarts.

- “Platform” means the BigXmarts website, application, digital services, and related communication channels.

- “Product” means any goods or services listed for sale through the platform.

2. ACCEPTANCE OF TERMS

By creating an account, placing an order, registering as a vendor, listing a product, or using any BigXmarts service, you confirm that you have read and accepted these Terms and Conditions.

If you do not agree with these terms, you should not use the platform.

3. ELIGIBILITY

Users must provide accurate information when creating an account or conducting transactions.

Where a user is required by law to be of a particular age or possess a licence or authorization to purchase a product, the user is responsible for meeting that requirement.

4. VENDOR RESPONSIBILITIES

Every vendor is responsible for:

- Providing accurate business and contact information.

- Listing genuine and legally permitted products.

- Providing accurate descriptions, photographs, prices, quantities, and specifications.

- Maintaining accurate stock availability.

- Properly packaging products.

- Fulfilling accepted orders within the agreed timeframe.

- Complying with applicable laws and regulations.

- Responding appropriately to legitimate customer complaints.

- Cooperating with BigXmarts regarding returns, refunds, and disputes.

Vendors shall not knowingly list counterfeit, stolen, expired, unsafe, prohibited, or unlawfully obtained products.

5. PRODUCT INFORMATION

BigXmarts provides a marketplace through which vendors may advertise and sell their products.

Unless expressly stated otherwise, the vendor is responsible for the accuracy, quality, legality, safety, authenticity, and condition of the products listed by that vendor.

BigXmarts may remove, reject, suspend, or restrict a product listing where it reasonably believes the listing violates these Terms, applicable law, or the interests of customers.

6. PRICES AND PAYMENTS

Prices displayed on the platform should be accurate at the time of purchase.

BigXmarts may apply commissions, service charges, delivery fees, promotional charges, or other applicable fees as communicated to users or vendors.

Payment methods and payment processing procedures may be changed from time to time.

7. ORDERS

Placing an order constitutes a request to purchase a product.

An order may be subject to confirmation by the relevant vendor and/or BigXmarts.

BigXmarts or the vendor may cancel an order where, for example:

- The product is unavailable.

- The listed price contains an obvious error.

- The vendor cannot fulfil the order.

- There is suspected fraud or unauthorized activity.

- The order violates these Terms or applicable law.

Where a customer has already paid for a cancelled order, any applicable refund shall be handled according to BigXmarts' refund policy.

8. DELIVERY

BigXmarts may facilitate delivery through its own delivery arrangements, independent riders, third-party logistics providers, or other approved delivery partners.

Delivery times may vary depending on location, product availability, traffic, weather, vendor preparation time, and other circumstances.

Customers must provide accurate delivery information and remain reasonably available to receive their orders.

9. RETURNS AND REFUNDS

Customers may be entitled to return or receive a refund for eligible products in accordance with BigXmarts' applicable return and refund policy and Ghanaian law.

Products that are damaged, defective, incorrect, counterfeit, materially different from their description, or otherwise subject to a lawful return may qualify for appropriate remedies.

Certain products may be excluded from return where permitted by law, including products that are perishable, personalized, hygienically sensitive, or otherwise unsuitable for return.

10. VENDOR RIGHT OF WITHDRAWAL

A vendor may voluntarily withdraw from BigXmarts by providing written notice through an officially recognized BigXmarts communication channel.

The vendor may be required to provide reasonable prior notice and must resolve pending orders, refunds, complaints, commissions, and other outstanding obligations before the withdrawal is completed.

Withdrawal from the platform does not automatically release a vendor from obligations that arose before withdrawal.

11. CUSTOMER RESPONSIBILITIES

Customers agree to:

- Provide accurate delivery and contact information.

- Make legitimate purchases.

- Not misuse promotional offers or discounts.

- Not submit fraudulent orders.

- Not intentionally damage products.

- Not abuse the return or refund process.

- Treat vendors, riders, and BigXmarts personnel respectfully.

Fraudulent or abusive activity may result in account suspension or termination.

12. PROHIBITED ACTIVITIES

Users and vendors must not:

- Use BigXmarts for illegal activities.

- Commit fraud or impersonation.

- Upload malicious software or harmful content.

- Attempt to gain unauthorized access to the platform.

- Manipulate reviews, ratings, orders, or transactions.

- Sell prohibited or unlawful products.

- Misuse customer or vendor information.

- Interfere with the normal operation of the platform.

13. ACCOUNT SUSPENSION AND TERMINATION

BigXmarts may suspend, restrict, or terminate an account where there is reasonable evidence of fraud, abuse, serious misconduct, repeated breaches of these Terms, unlawful activity, or conduct that may harm customers, vendors, riders, or BigXmarts.

Where reasonably possible, BigXmarts may provide notice and an opportunity to resolve the issue.

14. INTELLECTUAL PROPERTY

BigXmarts' name, logo, branding, website design, content, graphics, software, and other original materials are protected by applicable intellectual property laws.

Users and vendors may not reproduce, modify, distribute, or commercially exploit BigXmarts intellectual property without prior written permission.

Vendors remain responsible for ensuring that images, descriptions, trademarks, and other materials they upload do not infringe another person's intellectual property rights.

15. CUSTOMER AND VENDOR INFORMATION

Users and vendors must provide accurate information when requested.

Personal information collected through the platform shall be handled in accordance with applicable privacy and data-protection requirements.

Vendors must not use customer information obtained through BigXmarts for unauthorized marketing, solicitation, sale, or other unrelated purposes.

16. DISCLAIMERS

BigXmarts operates as an online marketplace and may facilitate transactions between customers and vendors.

Except where expressly required by law, BigXmarts does not guarantee that every vendor, product, listing, delivery, or transaction will always be available, error-free, or uninterrupted.

Nothing in these Terms is intended to exclude or limit any legal rights or liability that cannot lawfully be excluded or limited.

17. LIMITATION OF LIABILITY

To the extent permitted by applicable law, BigXmarts shall not be responsible for losses arising solely from a vendor's unlawful conduct, inaccurate product information, defective products, failure to fulfil an order, or other acts or omissions attributable to the vendor.

Nothing in these Terms shall exclude liability that cannot legally be excluded under applicable law.

18. INDEMNITY

To the extent permitted by law, a vendor or user who breaches these Terms or engages in unlawful conduct agrees to be responsible for losses, claims, damages, or reasonable costs arising directly from that breach or conduct.

19. CHANGES TO THESE TERMS

BigXmarts may update these Terms and Conditions from time to time.

Material changes may be communicated through the platform, email, SMS, WhatsApp, or another appropriate communication channel.

Continued use of BigXmarts after the effective date of updated terms may constitute acceptance of the revised terms, subject to applicable law.

20. DISPUTE RESOLUTION

BigXmarts encourages customers and vendors to first attempt to resolve disputes through good-faith communication.

Where a dispute cannot be resolved amicably, the parties may use an appropriate dispute-resolution mechanism available under the laws of the Republic of Ghana.

21. GOVERNING LAW

These Terms and Conditions shall be governed by and interpreted in accordance with the applicable laws of the Republic of Ghana.

22. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.

23. ENTIRE AGREEMENT

These Terms, together with any applicable BigXmarts policies, vendor agreements, refund policies, privacy policies, and other written terms communicated by BigXmarts, constitute the applicable terms governing the use of the platform.
